Gabriella Kleeman has extensive experience in all aspects of corporate law including banking and finance matters, securities offerings and mergers and acquisitions.

Gabriella formally worked with Cravath, Swaine and Moore LLP in New York City where she negotiated simple and complex corporate transactions, and represented a broad array of clients, from major banks and Fortune 100 companies to new funds and individuals. She has represented public and private companies in all aspects of complex debt transactions, mergers, acquisitions, leveraged buyouts, initial public offerings, fund formation, partnership agreements, private placements and various restructuring transactions.  She has represented lenders and borrowers in syndicated financing transactions, secured and unsecured term loans, revolving credit loans, intercreditor arrangements and has advised on contract and credit agreement interpretation as well as UCC matters. She has also represented investment banks and corporate issuers in domestic and foreign debt and equity offerings, filings with the Securities and Exchange Commission, FINRA, NYSE and NASDAQ.

While at Cravath, Gabriella also participated in a secondment with the in-house legal team at Credit Suisse to assist in derivative and hedging contract negotiations. There, Gabriella reviewed, summarized and negotiated swap contracts in connection with lending facilities and acquisition financing transactions and advised on legal matters relating to credit default swap compliance.

Gabriella received her Juris Doctorate from Columbia Law School and received her B.S. summa cum laude from Brandeis University.  She is admitted to practice in New York and New Jersey. A native Californian, she now calls New Jersey her home which she shares with her supportive husband and two wonderful (and very active) children.
