Capital Markets

Gaynor’s Capital Markets practice includes representing issuers and investors in equity and debt offerings and other structured finance transactions, such as repurchase transactions and warehouse line facilities secured by residential mortgages. The lawyers involved with this practice have significant experience with a variety of asset classes including deep experience representing originators of residential mortgage loans.

Corporate & Securities

The Firm’s Corporate and Securities practice includes representing issuers and investors, and working with placement agents, in connection with debt and equity financings, structuring complex cross-border and joint venture transactions, and advising clients, including several real estate investment companies on private placement transactions, fund formation and fundraising.

Cybersecurity & Data Privacy

Our Cybersecurity and Data Privacy attorneys advise businesses of all sizes on matters related to assessing risk of data beaches, data security policy drafting, collection and use of data, Telephone Consumer Protection Act (“TCPA”) and General Data Protection Regulation (“GDPR”) compliance. Emerging Companies and Venture Capital

OUTSIDE GENERAL COUNSEL​

Our attorneys act as outside general counsel for a large number of companies of all sizes. At its core, this practice area involves gaining a deep understanding of our client’s business and providing practical business and legal advice on an as-needed basis. For clients who do not have an attorney in-house, we play that role. For others of our clients, we work collaboratively with, and as an extension of, their in-house legal team when they want assistance with certain transactional matters. Ultimately, we act as a partner to our clients and are available to them as business and legal needs arise.
As part of our role as outside general counsel for our clients, we are also regularly involved with drafting and negotiating a wide range of commercial agreements including customer agreements, distribution agreements, manufacturing agreements and agreements with vendors.

Intellectual Property

The lawyers in our Intellectual Property practice regularly work across many of our practice areas to assist clients with protecting their IP and advise on other related matters such as performing due diligence for a merger, acquisition or financing transaction, drafting commercial contracts or resolving disputes over trademark or copyright infringement or misappropriation.

Our intellectual property clients range from technology start-ups to international enterprise internet companies, and we help manage IP portfolios for public and private companies (both domestically and abroad), high-net-worth individuals and family trusts.  Along with a traditional IP practice that focuses on trademarks, copyrights, patents and trade secrets, our intellectual property attorneys also have deep experience and expertise in the following areas:

Real Estate Markets

Gaynor’s Real Estate attorneys have decades of experience and have advised clients on billions of dollars of real estate transactions.  The team’s experience also includes in-house roles in operations at, and as General Counsel to, large and mid-sized real estate investment firms which gives us a unique ability to relate to our clients and provide practical advice.  We focus on a broad range of real estate transactions including purchase and sale, development, fund formation, syndications, joint ventures, finance and leasing.  We also represent several real estate investment firms in connection with their securities issuances (syndications or fund formation and financing).    

Restructuring

Gaynor’s restructuring practice includes advising a broad range of clients including lenders, corporate debtors and landlords.  As part of our restructuring practice, our corporate and real estate attorneys assist clients with out of court restructurings and works outs, and we also partner with leading bankruptcy law firms to assist in connection with in-court restructuring matters and Section 363 sales.

Technology and IP Transactions

Our Technology and IP Transaction practice includes advising clients on the development, acquisition, monetization and licensing of intellectual property. We have experience with negotiating domestic and international intellectual property license agreements, software licenses and technology transfer agreements.
