Nina Grayson is Of Counsel with Gaynor and is an experienced transactional Corporate lawyer with extensive expertise in Mergers & Acquisitions, divestitures, business divorces and similar business transactions including joint ventures, strategic alliances, manufacturing and distribution arrangements, employment and executive matters and financing transactions.

She has been counseling clients in the corporate arena for more than 25 years and provides entrepreneurs and businesses with focused business and legal advice from formation to mature stages, and assists with all partnership and shareholder issues, corporate governance matters and ongoing business and commercial matters. Nina regularly serves as Outside General Counsel to well established, Start-Up & Emerging Growth businesses for their day-to-day legal matters. Nina works closely with clients to help build relationships with other professional service providers to increase networking opportunities for all parties.

Nina has counseled companies in a variety of industries including manufacturing, security detection, medical device, publishing, renewable energy, software and financial services arenas. Nina is noted for her expertise in aggressively advocating the interests of the companies, their shareholders and management teams in connection with the negotiation of transactions and general corporate matters. She is known not only for her legal acumen but also for her entrepreneurial spirit and her ability to get a deal done.

Nina has practiced law in association with various law firms in New York City, including as a Partner in the corporate and Securities Department at Dechert LLP, as Managing Partner of the corporate and Securities Department at Dreier LLP and as Of Counsel at Golenbock Eisemen Assor Bell & Peskoe LLP.

Nina graduated with a B.B.A., with honors, from Emory University and received her J.D., with honors, from George Washington University National Law Center.
